Case study: Commercial due diligence and market assessment for a US wind power, solar photovoltaic, and battery portfolio

Challenge

Our client, a leading European infrastructure investment firm needed commercial due diligence for a US-wide portfolio of wind, solar photovoltaic, and battery storage assets plus a development project pipeline. Their investment committee required financial model inputs and guidance as well as a deeper understanding of the key risks around their potential investment.

Our solution

  • We wrote a comprehensive power market report, focused on policy, regulation, power market fundamentals, market design, and market outlooks for the majority of key U.S. markets.
  • We prepared a red flag report highlighting the risks highlighted in the seller’s report and challenging certain assumptions.
  • We reviewed the commercial terms of several PPAs, highlighting key risks including volume/curtailment, price, and covariance risks. In addition, we carried out a detailed nodal basis risk analysis for key asset locations in the portfolio.

Impact

Our client made an informed valuation of the target portfolio having understood the attendant risks and successfully acquired a stake in a geographically and technologically diverse portfolio of clean energy assets.

Buyside commercial and technical due diligence of petroleum product terminal in Southeast Asia

Challenge

Our client, an infrastructure fund, was interested in acquiring a petroleum product terminal in a Southeast Asian market and required independent advisory support in assessing the investment potential of the asset. The client engaged our consulting team to conduct a comprehensive commercial and technical due diligence review of the terminal facilities

Our solution

  • Our consulting team prepared a detailed market analysis and outlook for the fuels and refined products terminaling sector in the target market, and assessed the competitiveness of the target relative to competitors.
  • We conducted a detailed technical review of the terminal facilities including operating, safety, and maintenance records and practices, electrical and control systems, fire protection systems, and safety and security systems.
  • We reviewed vendor data on performance including utilization, average contract length, proportion of guaranteed revenue, split between storage fees, additional throughput fees, and ancillary revenue. Planned project works and capex of anticipated repairs and maintenance were also reviewed.
  • We provided an assessment of the vendor’s business plan, commentary on scenarios and risks that could impact the existing business, and key input assumptions and sensitivities for the financial model. Our deliverables included a Red Flag Report, Final Due Diligence reports and regular weekly update calls with the client and all advisors.

Impact

  • Through this due diligence engagement, our client gained a deep understanding of the commercial position, technical capabilities and potential risks associated with this terminal.
  • Our client was able to make an informed decision on the attractiveness of the transaction and successfully acquired the terminal.

Case study: Full-cycle investment process support to bid for target asset

Challenge

A major infrastructure fund needed CI Consulting to take on multiple studies to support the client’s investment thesis development. From screening and ranking potential acquisition targets to carrying out detailed commercial due diligence on high-graded opportunities.

Our solution

  • We provided US upstream and global liquefaction outlooks to support market framing, making recommendations that would support their investment thesis, which led to the US LNG market being prioritized as an investment opportunity.
  • We carried out a screening exercise of US LNG projects, benchmarking against international competitors and evaluating re-contracting potential.
  • We supported the client with commercial due-diligence by analyzing upstream, infrastructure, above-ground risks, feedgas availability and deliverability as well as competitiveness of the LNG terminal under consideration.

Impact

  • We highlighted uncertainties in the LNG terminal’s existing feedgas arrangement, potentially exposing the client to feedgas price volatility, which led to constructive discussions with the seller and a planned shift in feedgas strategy.
  • Our evaluation of the re-contracting environment was a major factor in the “value gap” evaluation between buyer and seller as well as a key consideration in the successful development of a risked final offer.
  • Our investment committee case led to a successful transaction in Q2-23.
